1. Overview

We are pleased to welcome you to MEDVANE.

These Terms of Service govern your use of MEDVANE's healthcare management platform, located at www.medvane.net, operated by INVOVANE COMPANY.

Additionally, our Privacy Policy regulates your use of our Service and describes how we collect, safeguard, and share information about your visits to our platform.

Your agreement with us is comprised of these Terms and our Privacy Statement. You acknowledge that you have read and comprehended the Agreements and that you agree to their binding effect.

If you do not agree with (or are unable to comply with) the Agreements, you may not use the Service; however, please contact us at support@medvane.net so we can work out a solution. These Terms apply to all visitors, users, and those who access or use the Service.

2. Communications

By accessing and using our Service, you agree to receive newsletters, marketing or promotional materials, and other information from us. You may, however, unsubscribe from any or all of these communications by managing your subscription at https://medvane.net/subscription or by emailing support@medvane.net.

3. Purchases

If you desire to purchase any product or service made available through the Service ("Purchase"), you may be requested to provide certain information related to your purchase, such as your PayPal account information, your billing address, and your payment information.

You represent and warrant that: (i) you are legally entitled to use any payment method in connection with any Purchase; and (ii) the information you provide to us is true, accurate, and complete.

We may make use of third-party services (PayPal) to facilitate the payment for and completion of Purchases. By submitting your information, you authorize us to share it with these third parties following our Privacy Policy.

We reserve the right to refuse or cancel your order at any time for a variety of reasons, including but not limited to product or service availability, pricing mistakes, an error in your order, or other reasons.

If we suspect fraud or an unauthorized or illegal transaction, we reserve the right to refuse or cancel your order.

4. Promotions, Contests, and Sweepstakes

Any contests, sweepstakes, or other promotions offered through the Service may be governed by rules distinct from these Terms of Service. Please examine the applicable regulations and our Privacy Statement before participating in any Promotions. If a Promotion's terms conflict with these Terms of Service, the Promotion's rules will govern.

New users receive a 30-day free trial with full access to all Premium features. The trial begins upon account creation and email verification.

Email Notification Limits: Trial users are limited to 10 email notifications per month. Premium subscribers receive unlimited email notifications. Email limits reset monthly.

After the 30-day trial period expires, continued access requires a Premium subscription. Billing for the Premium Plan is charged in advance for each one-month term ("Billing Cycle") and renews automatically unless canceled prior to renewal.

You may cancel your subscription or choose not to renew at any time by visiting https://medvane.net/subscription, through PayPal, or by contacting customer support at support@medvane.net.

All payments are processed securely through PayPal. You must maintain a valid PayPal account to complete your subscription. By subscribing to the Premium Plan, you authorize MEDVANE and PayPal to collect subscription fees through your PayPal account.

If payment fails for any reason, MEDVANE reserves the right to suspend or discontinue your access to the Premium Plan until the issue is resolved.

MEDVANE reserves the right to modify subscription plans, pricing, or these Terms of Service at any time. You will be notified of material changes in advance.

5.1 Advanced AI Assistant Feature

The Advanced AI Assistant, available exclusively in the Premium Plan, is designed to assist healthcare professionals with clinic management and general healthcare knowledge while maintaining strict patient privacy protections.

Medical Disclaimer: The AI Assistant is a tool to assist healthcare professionals with administrative and general knowledge tasks. It does not constitute medical advice and is NOT a substitute for professional clinical judgment, diagnosis, or treatment decisions. Always consult qualified healthcare professionals for medical decisions.

How the AI Assistant Works

The AI Assistant uses a privacy-first, dual-processing architecture:

1. Patient Data Queries (Processed Locally)

When you ask about specific patients, appointments, or medical records stored in your MEDVANE database, these queries are processed entirely within our secure local infrastructure. No patient-specific information is transmitted to external third-party services.

2. General Healthcare Knowledge (External Processing via OpenAI)

When you ask general healthcare questions, these queries may be processed by OpenAI. Our system automatically detects and blocks any patient-specific information before external transmission. By using the AI Assistant, you acknowledge that general (non-PHI) queries may be processed by OpenAI under their terms of service.

Acceptable Use

You agree to use the AI Assistant only for lawful healthcare management purposes and in accordance with applicable healthcare regulations and professional standards. You must not attempt to circumvent PHI detection systems or use the AI Assistant in a manner that could expose patient data to external services.

5.2 Virtual Appointment Disclaimer

MEDVANE supports virtual and telemedicine appointments by allowing healthcare providers to attach third-party video meeting links (such as Zoom, Google Meet, Skype, or Viber) to appointments and send these links to patients via email.

Important: MEDVANE does not provide, host, or operate any video conferencing infrastructure.

All video consultations take place on third-party platforms (Zoom, Google Meet, Skype, Viber, or other services chosen by the provider). MEDVANE is not responsible for the availability, security, privacy practices, or performance of these third-party video platforms. Providers and patients use these platforms subject to each platform's own terms of service and privacy policies.

INVOVANE COMPANY expressly disclaims any liability for:

  • Technical failures or outages on third-party video platforms;
  • Privacy or security breaches occurring on third-party video platforms;
  • Quality of care delivered via telemedicine;
  • Compliance of third-party video platforms with HIPAA or other healthcare regulations.

Healthcare providers are solely responsible for ensuring their chosen video platform meets applicable regulatory requirements for telemedicine.

6. Fee Adjustments

MEDVANE reserves the right, at its sole discretion, to amend the Subscription fees at any time. Any changes to the Subscription charge will take effect after the then-current Billing Cycle.

MEDVANE shall give you reasonable prior notice of any change in Subscription rates to allow you to cancel your subscription before the change takes effect.

Continued use of the Service following the effective date of the Subscription fee modification signifies your agreement to pay the modified Subscription fee amount.

7. Refund Policy

All Premium subscriptions include a 7-day money-back guarantee from your first payment. Contact support@medvane.net for assistance.

We offer a 30-day free trial so you can test all features risk-free. After your trial, if you subscribe to Premium, you have a 7-day money-back guarantee from your first payment. All refunds are processed through PayPal according to their refund policies.

To request a refund during the 7-day guarantee period, please contact our customer service at support@medvane.net with your subscription details. Refunds may take 3–5 business days to appear in your account.

8. Content

Our Service enables you to publish, link to, store, share, and otherwise make available certain information, text, graphics, and other material (collectively referred to as "Content"). You are entirely responsible for the Content that you upload to or transmit via the Service, including its legality, reliability, and appropriateness.

You agree to indemnify, defend, and hold harmless MEDVANE, its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and all costs and expenses (including attorneys' fees) arising from or relating to any Content you upload, publish, or share via the Service, including but not limited to copyright infringement or violation of any third-party rights.

By posting Content on or through the Service, you represent and warrant that: (i) the Content is yours (you own it) and/or you have the right to use it and to grant us the rights and licenses outlined in these Terms; and (ii) the posting of your Content on or through the Service does not violate any third party's privacy, publicity, copyright, contract, or other rights.

You maintain complete ownership of all rights in and to any Content you submit, post, or display on or through the Service. By posting Content on or via the Service, you hereby grant us the right and license to use, edit, publicly perform, publicly display, reproduce, and distribute such Content on and via the Service solely for the purpose of operating and improving the healthcare management platform.

MEDVANE reserves the right, but is not obligated, to monitor and edit all Content submitted by users. Additionally, Content on or accessible via this Service is the property of MEDVANE or is used with permission. Without our express prior written consent, you may not distribute, edit, transmit, reuse, download, repost, copy, or use said Content for commercial purposes or personal gain outside the intended use of the Service.

10. Restricted Uses

You may use the Service only in line with these Terms and for legitimate purposes. You agree to refrain from using the Service:

  • In any manner that is inconsistent with applicable domestic or international law or regulation;
  • To exploit, injure, or attempt to exploit or harm minors in any way;
  • To communicate or acquire the transmission of any unsolicited commercial material, including "spam";
  • To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other individual or entity;
  • In any connection that violates the rights of others, or in any manner that is illegal, threatening, fraudulent, or harmful;
  • To engage in any other behavior that limits or inhibits another person's use or enjoyment of the Service.

Additionally, you agree to refrain from:

  • Using the Service in any way that could disable, overburden, damage, or impair the Service;
  • Using robots, spiders, or other automated devices to monitor or duplicate any material on the Service;
  • Using any manual process to monitor or copy any of the Content on the Service for any unlawful purpose;
  • Using any equipment, program, or procedure that impairs the Service's proper operation;
  • Introducing any viruses, trojan horses, worms, logic bombs, or other malicious material;
  • Attempting to gain unauthorized access to any portion of the Service, servers, or databases;
  • Launching a denial-of-service attack against the Service;
  • Taking any activity that could jeopardize the Company's rating;
  • Attempting to circumvent PHI detection or data security mechanisms.

11. Blockchain Data Terms

MEDVANE optionally uses the Polygon (MATIC) blockchain network to create immutable audit records of completed appointment data. When this feature is enabled, a SHA-256 cryptographic hash of the appointment record is computed and submitted as a transaction to the Polygon blockchain.

Immutability Notice

Blockchain transactions are permanent and cannot be reversed, altered, or deleted. By enabling blockchain verification, you acknowledge and accept that the cryptographic hash of appointment records will be permanently recorded on a public blockchain. MEDVANE has no ability to remove or modify on-chain data once submitted.

No PHI on the blockchain: Only the SHA-256 hash is written on-chain. No patient names, medical record numbers, or identifiable health information is written to the Polygon network. It is computationally infeasible to reconstruct original data from a cryptographic hash.

If you exercise a data deletion right, MEDVANE will delete the source records from our database. The on-chain hash will remain but will be permanently dissociated from any identifiable information.

Blockchain verification is an optional feature. To disable it, please contact support@medvane.net.

12. Device Fingerprinting & Session Security

MEDVANE uses FingerprintJS, an open-source browser fingerprinting library, to generate a device identifier based on browser and device characteristics. This fingerprint is used exclusively for account security purposes:

  • Detecting and alerting on sessions accessed from unrecognized devices;
  • Binding active sessions to the initiating device as a fraud prevention measure;
  • Identifying and blocking automated credential-stuffing or bot attacks.

By using the Service, you consent to device fingerprinting for these security purposes. Device fingerprints are never used for advertising targeting, cross-site tracking, or shared with third-party advertising networks.

Device fingerprint data is stored only in association with your active session and is discarded when the session expires.

13. Audit Trail & Data Retention

MEDVANE maintains a comprehensive audit trail of all activity within your account, including all create, read, update, and delete operations on patient records, appointments, staff, prescriptions, lab tests, diagnoses, vital signs, procedures, payments, and insurance records.

What is Logged

  • Timestamp of every action;
  • User ID and name of the person who performed the action;
  • Type of action (Created, Updated, Deleted);
  • Record and table affected;
  • IP address and user agent (browser) of the session;
  • Detailed description of what changed.

Retention Period

Audit logs are retained for a minimum of 7 years in alignment with HIPAA best practices. Audit logs cannot be deleted by users. This is a mandatory compliance requirement. Even after account deletion, anonymized audit records may be retained for the remainder of the 7-year period as required by law.

Access to Audit Logs

You can view your account's audit trail at any time through the Audit Trail section in your dashboard. Audit logs are available for compliance audits and legal proceedings upon lawful request.

14. Data Portability & Account Deletion

Data Export

You may export your data (patient records, appointments, reports) from the Reports section of your dashboard in CSV format at any time. To request a complete data export in a structured format, contact support@medvane.net. We will fulfill export requests within 30 days.

Account Deletion

You may delete your account at any time by visiting https://medvane.net/account-settings. Upon account deletion:

  • All patient records, appointments, staff, and personal data will be permanently deleted within 30 days;
  • Anonymized audit log records will be retained for the remainder of the 7-year compliance period;
  • AI assistant conversation history will be permanently deleted;
  • Blockchain hashes (if any) will remain on the Polygon network but will be permanently dissociated from your identity.

Subscription payments are non-refundable after the 7-day money-back guarantee period has passed. Account deletion does not automatically generate a refund for unused subscription time.

15. Analytical Services

Third-party Service Providers may be used to monitor and evaluate how our Service is used. We use the following analytics and advertising services:

  • Google Analytics 4 & Google Tag Manager: Collects anonymous page view and session data. No PHI is shared.
  • Google Ads: Conversion tracking for advertising campaigns (signup, trial, purchase events). No PHI is shared.
  • Facebook (Meta) Pixel: Page view and conversion tracking for advertising. No PHI is shared.

Analytics and marketing cookies are optional and can be disabled through our Cookie Consent settings. Disabling analytics does not affect your core use of the Service. No Protected Health Information (PHI) is ever shared with analytics or advertising providers.

16. Unsuitable for Minors

The service is designed for those who are at least eighteen (18) years old to access and use. By accessing or using the Service, you warrant and represent that you are at least eighteen (18) years old and possess the entire authorization, right, and capacity to engage in this agreement and adhere to all Terms. If you are under the age of eighteen (18) years, you are not permitted to access or use the Service.

17. Account

By creating an account with us, you represent that you are at least 18 years old and that the information you submit is true, complete, and current at all times. Incomplete, inaccurate, or out-of-date information may result in the immediate termination of your Service account.

You are responsible for safeguarding the confidentiality of your account and password, including limiting access to your computer and/or account. You agree to assume responsibility for any or all activities or actions conducted using your account and/or password. You must promptly contact us if you become aware of a security breach or unauthorized use of your account.

Without prior authorization, you may not use the email address of another person or entity during registration.

We reserve the right, at our sole discretion, to refuse service, terminate accounts, remove or edit content, or cancel orders.

18. Intellectual Property

MEDVANE and its licensors retain sole ownership of the Service and its unique content (excluding Content submitted by users), features, and functionality.

18.1 Platform Disclaimer

MEDVANE is a neutral healthcare management platform that enables healthcare providers to manage patient data, appointments, staff, and clinical records. We do not create, edit, or endorse user-submitted healthcare-related content. All responsibility for ensuring the accuracy, legality, and appropriateness of entered healthcare data lies solely with the healthcare provider user.

19. DMCA and Copyright Policy

We are mindful of others' intellectual property rights. It is our policy to respond to any claim that Content posted on the Service violates a person's or entity's copyright or other intellectual property rights.

If you are a copyright owner, or an authorized representative, and believe that a copyrighted work has been copied in a manner that constitutes copyright infringement, please send an email to support@medvane.net with the subject line "Copyright Infringement" and include a detailed description of the alleged infringement as detailed below under "DMCA Notice and Procedure."

You may be held liable for damages (including costs and attorneys' fees) resulting from misrepresentation or bad-faith allegations regarding the violation of your copyright by any Content found on the Service.

MEDVANE is an internet service provider under 17 U.S.C. § 512 and claims safe harbor protection under the Digital Millennium Copyright Act (DMCA). As such, MEDVANE is not liable for user-uploaded content provided that we promptly remove infringing material when properly notified under the DMCA.

20. DMCA Notice and Procedure for Allegations of Copyright Infringement

You may file a notification under the Digital Millennium Copyright Act (DMCA) by providing the following information in writing to our Copyright Agent (see 17 U.S.C. 512(c)(3)):

  • The electronic or physical signature of the individual authorized to act on behalf of the copyright holder;
  • A description of the infringed copyrighted work, including the URL of the location of the allegedly infringed work;
  • The URL or other precise location on the Service where the allegedly infringing item is located;
  • Your physical mailing address, telephone number, and email address;
  • A statement by you that you believe the disputed use is not authorized by the copyright owner, its agent, or the law;
  • A declaration by you, made under penalty of perjury, that the information contained in your notice is accurate and that you are the copyright owner or authorized to act on behalf of the copyright owner.

21. Reporting and Feedback on Errors

You may give us information and feedback about errors, suggestions for improvements, ideas, problems, complaints, and other matters relating to our Service either directly at support@medvane.net or via third-party sites and platforms. You acknowledge and agree that: (i) you will not retain, acquire, or assert any intellectual property or other rights in or to the Feedback; (ii) the Company may have development ideas similar to the Feedback; (iii) the Feedback does not contain any confidential or proprietary information from you or any third party; and (iv) the Company is not under any obligation of confidence with respect to the Feedback. If you are unable to transfer ownership of the Feedback due to applicable mandatory laws, you grant Company and its affiliates an exclusive, transferable, irrevocable, royalty-free, sublicensable, unlimited, and perpetual right to use the Feedback in any manner and for any purpose.

23. Warranty Disclaimer

THE COMPANY PROVIDES THESE SERVICES ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

THE COMPANY MAKES NO REPRESENTATION OR WARRANTY REGARDING THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICES. WITHOUT LIMITING THE FOREGOING, NEITHER THE COMPANY NOR ANYONE ASSOCIATED WITH THE COMPANY REPRESENTS OR WARRANTS THAT THE SERVICES, THEIR CONTENT, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICES WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED; THAT DEFECTS WILL BE CORRECTED; THAT THE SERVICES OR THE SERVER THAT MAKES THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR THAT THE SERVICES OR ANY ITEMS OBTAINED THROUGH THE SERVICES WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.

THE COMPANY HEREBY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE.

THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW. IN JURISDICTIONS WHERE THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES IS NOT PERMITTED BY LAW, THE COMPANY'S LIABILITY SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

24. Liability Limitation

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL INVOVANE COMPANY, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

EXCEPT AS PROHIBITED BY APPLICABLE LAW, THE COMPANY'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW FOR THE EXCLUSION OR LIMITATION OF PUNITIVE, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, AND AS A RESULT, THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.

25. Termination

We reserve the right to instantly cancel or suspend your account and deny access to the Service, without prior warning or liability, for any cause, including but not limited to a breach of these Terms.

You may terminate your account by visiting https://medvane.net/account-settings to delete your account or by simply ceasing to use the Service.

All sections of these Terms that, by their nature, should survive termination shall do so, including ownership provisions, warranty disclaimers, indemnification, and liability limits.

26. Governing Legislation

These Terms shall be governed and construed in accordance with Philippine law, regardless of its conflict of law provisions.

Failure by us to enforce any right or term of these Terms will not be construed as a waiver of those rights or provisions. If a court determines that any provision of these Terms is unlawful or unenforceable, the remaining sections will remain in full force and effect. These Terms comprise the complete agreement between us concerning our Service and supersede all prior agreements.

27. Service Modifications

We reserve the right, at our sole discretion, to remove or alter our Service, as well as any service or material we provide via the Service, without notice. We will not be liable if all or any portion of the Service is unavailable at any time or for any period for any reason. We reserve the right to restrict access to certain portions of the Service, or the entire Service, to users, including registered users, at any time.

28. Modifications to Terms

We reserve the right to modify these Terms at any time by posting the modified terms on this site. You should frequently check these Terms.

By continuing to use the Platform following the publishing of amended Terms, you agree that you have read, understood, and agreed to the changes. You are responsible for routinely checking this page to ensure that you are informed of any changes, as they are binding on you.

By continuing to access or use our Service following the effective date of any amendments, you agree to the revised terms. If you do not agree to the revised terms, you will be unable to use the Service.

29. Severability and Waiver

The Company's waiver of any term or condition outlined in these Terms shall not be construed as a further or continuing waiver of such term or condition or any other term or condition. The Company's failure to assert a right or provision under these Terms shall not be construed as a waiver of such right or provision.

If any term of these Terms is found to be invalid, illegal, or unenforceable for any reason, that provision shall be removed or limited to the smallest extent necessary to ensure that the remaining sections of these Terms remain in full force and effect.

30. Acknowledgement

BY USING THE SERVICE OR OTHER SERVICES PROVIDED BY US, YOU ACKNOWLEDGE THAT YOU HAVE READ AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE.
